Seller Agreement

This agreement governs your relationship with DreamShop as a seller. It sets out your responsibilities for listings, fulfilment, fees, payouts, and compliance with Nigerian law.
1. Seller Registration & Verification
To sell on DreamShop you must register a seller account, provide your store name and shop location (state and city), and complete our verification (KYC) process. Your shop location is used to match your products with nearby buyers for faster, cheaper delivery. In line with the Money Laundering (Prevention and Prohibition) Act 2022 and CBN directives, we may require valid identification, business registration details (where applicable under CAMA 2020), a valid Tax Identification Number, and settlement bank details.
2. Listings & Product Accuracy
You are responsible for the accuracy and legality of everything you list. You agree to:
- Provide truthful product titles, descriptions, images, prices, and stock levels.
- Only list genuine, legal products you are authorised to sell — no counterfeit, fake, stolen, unsafe, restricted, or prohibited items. DreamShop may optionally request reasonable proof of authenticity, lawful ownership, source, licences, permits, approvals, or compliance where appropriate.
- If you list or sell counterfeit, fake, stolen, unsafe, or otherwise unlawful goods, DreamShop may remove the listing, suspend or terminate your account, withhold or recover funds where lawful, cooperate with regulators or law-enforcement authorities, and pursue any remedies available under applicable law and this Agreement. Depending on the circumstances, those remedies may include an indemnification claim, third-party claim, breach-of-contract claim, subrogation claim, or clawback or recourse action. This statement does not create a private criminal penalty or waive any statutory rights.
- Comply with labelling, safety, and standards requirements, including SON and NAFDAC regulations where applicable, and maintain any licence, permit, tax, product-safety, advertising, or professional approval required for your goods.
- Honour the price and details shown to the buyer at the time of purchase.
3. Order Fulfilment
You must dispatch confirmed orders within the stated handling time and package items securely. For each listing, you must select either free delivery or a paid delivery fee. Any paid delivery fee must be accurate, reasonable, and shown to the buyer before purchase; you must not add an undisclosed delivery charge after checkout. Repeated late dispatch, cancellations, or out-of-stock listings may affect your seller rating and account standing.
4. Fees & Commission
Listing on DreamShop is free. We charge a commission on completed sales, plus any applicable payment-processing and fulfilment fees. The applicable commission is calculated from the completed sale amount and is shown on the Seller Dashboard. Current rates are:
- Electronics: 3.6%.
- Power & Solar, Building & Industrial: 2.4%.
- Phones & Tablets, Grocery: 3.0%.
- Computing, Gaming, Automotive: 3.6%.
- Home & Office, Office & Stationery, Books & Media, Pet Supplies, Garden & Outdoor, Musical Instruments: 4.2%.
- Home & Kitchen, Baby Products, Toys & Games, Sports & Fitness, Luggage & Travel: 5.4%.
- Jewelry & Watches: 6.0%.
- Health & Beauty: 7.2%.
- Fashion and Accessories: 9.4%.
The exact rate for each of your listings is also shown in your Seller Dashboard and on the Sell page. Rates may be updated with reasonable prior notice. Applicable taxes are your responsibility.
5. Payouts, Settlement & Payment Holds
Proceeds from your sales (net of fees and any refunds) are settled to your verified bank account after the buyer’s return window has passed. To protect buyers, your earnings are held for 5 days after successful delivery is confirmed. If a buyer complaint is opened, the hold is extended until the buyer and seller resolve the issue or an escalated case is decided by authorised admin staff.
- An open buyer complaint pauses the related hold until the complaint is resolved.
- We may withhold or delay settlement where there is a dispute, chargeback, suspected fraud, or a legal requirement to do so.
- Seller accounts operated by DreamShop may be exempt from the holding period.
- You can track held and released amounts in your Seller Dashboard.
6. Complaints & Disputes
Buyers may open a complaint about your order (for example, item not received or not as described). You will be notified and given the opportunity to respond with evidence. You agree to cooperate promptly and in good faith with our dispute-resolution process. Outcomes may include a refund to the buyer, release of the payment hold to you, or dismissal of the complaint.
7. Consumer Protection & After-Sales
As the merchant of record for your products, you are responsible for meeting buyers’ rights under the FCCPA 2018, including honouring valid returns, refunds, replacements, repairs, and any warranty you offer. DreamShop generates an itemised invoice for every purchased item, including items sold by third-party sellers, and makes it available to the buyer for viewing and printing. You must provide accurate seller, product, price, delivery, and tax information for that invoice and retain any records required by Nigerian law. You agree to cooperate promptly with our dispute-resolution process.
You must handle buyer information only as needed to fulfil an order or meet a legal obligation, keep it confidential, use reasonable security safeguards, and delete or return it when it is no longer required. You must not export, sell, reuse, or contact buyers for unrelated marketing without a lawful basis and any required consent under the NDPA 2023.
8. Suspension & Termination
We may suspend or close a seller account for breach of this agreement, unlawful conduct, poor performance, or repeated buyer complaints. On termination, you remain responsible for fulfilling outstanding orders and honouring after-sales obligations.
9. Indemnity
You agree to indemnify and hold DreamShop harmless against claims, losses, or penalties arising from your products, your listings, or your breach of this agreement or applicable law.
